TERMS AND CONDITIONS

1. About YourGig

YourGig is an online marketplace that connects businesses, event organisers, and individuals ("Clients") with creative professionals, performers, artists, designers, photographers, musicians, and other skilled talent ("Talent"). Our Services provide a platform for Clients to discover, communicate with, and book Talent for specific projects, events, or engagements (each, a "Gig").

YourGig acts solely as a facilitator. We do not ourselves provide creative or professional services, and we are not a party to any agreement entered into between a Client and a Talent member. Any contract for the provision of services arising from a booking made through the Platform (a "Gig Contract") is a direct agreement solely between the Client and the Talent member.

2. Definitions

"Client": Any individual, business, or organisation using the Platform to search for, contact, or book Talent.

"Talent": Any creative professional, performer, artist, or freelancer who registers on the Platform to offer their services.

"User": Any person who accesses or uses the Services, including both Clients and Talent.

"Gig": A specific booking or engagement agreed between a Client and a Talent member through the Platform.

"Gig Contract": The direct agreement between a Client and a Talent member governing the terms of a Gig.

"Platform": The YourGig website, applications, and all associated tools and features.

"User Content": Any content, including portfolios, images, videos, audio, text, or reviews, uploaded to the Platform by a User.

3. Eligibility and Registration

3.1 Age Requirement: You must be at least 18 years of age, or the legal age to form a binding contract in your jurisdiction, to use the Services. By registering, you confirm that you meet this requirement.

3.2 Account Registration: To access certain features of the Platform, you must create an account and register as either a Client or a Talent member. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date at all times.

3.3 Account Security: You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately at legal@yourgig.pro if you become aware of any unauthorised use of your account. YourGig will not be liable for any loss or damage arising from your failure to comply with this obligation.

3.4 Business Accounts: If you are registering on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, and that "you" shall refer to that entity.

4. The Relationship Between YourGig, Clients, and Talent

4.1 Facilitator Role: YourGig provides a technology platform to facilitate introductions and transactions between Clients and Talent. YourGig is not an employment agency, staffing firm, or talent management company. We do not employ, supervise, direct, control, or manage the work performed by any Talent member.

4.2 Independent Contractors: All Talent members are independent contractors. Nothing in these Terms, or in any Gig Contract, shall be construed to create an employment, partnership, joint venture, agency, franchise, or any other relationship between YourGig and any Talent member.

4.3 No Endorsement or Guarantee: While YourGig provides tools such as reviews, ratings, and portfolio displays to assist Clients in evaluating Talent, we do not endorse, recommend, or guarantee the quality, safety, legality, suitability, or reliability of any Talent member or the services they provide. Clients are solely responsible for evaluating Talent prior to entering into a Gig Contract.

4.4 No Background Checks: YourGig does not conduct criminal background checks, credit checks, or other formal vetting of Talent members. Any information displayed on a Talent profile is provided by the Talent member themselves and has not been independently verified by YourGig.

5. Bookings and Gig Contracts

5.1 Booking Process: Clients may browse Talent profiles and submit booking requests through the Platform. A Gig is confirmed only when both the Client and the Talent member have agreed to the specific terms of the engagement, including the scope of work, timeline, and agreed fee.

5.2 Gig Contract: Upon confirmation of a booking, the Client and Talent member enter into a direct Gig Contract. YourGig is not a party to this contract. Clients and Talent are responsible for negotiating and agreeing upon all terms of the Gig Contract, including any intellectual property arrangements and confidentiality obligations.

5.3 Contract Templates Disclaimer: YourGig may, from time to time, provide sample contract templates or standard terms for use between Clients and Talent. These templates are provided for convenience and informational purposes only. YourGig does not provide legal advice and makes no representations or warranties regarding the legality, enforceability, or suitability of these templates for any specific Gig. Users are strongly encouraged to seek independent legal counsel before relying on or executing any contract template provided by the Platform.

6. Payments, Subscriptions, and Taxes

6.1 Platform Subscriptions: YourGig operates on a subscription model for access to certain features of the Platform. All subscription payments to YourGig must be processed through our designated third-party payment processor. By purchasing a subscription, you agree to be bound by the terms and conditions of the applicable payment processor, which are incorporated herein by reference. YourGig reserves the right to modify its subscription fee structure at any time, with reasonable prior notice to Users.

6.2 Direct Payments for Gigs: YourGig does not process, facilitate, or guarantee payments for Gigs between Clients and Talent. All payments for services rendered under a Gig Contract must be arranged and completed directly between the Client and the Talent member. YourGig takes no commission or service fee from the individual Gig transactions.

6.3 Payment Disputes: Because YourGig is not involved in the payment process for Gigs, we are not responsible for any non-payment, late payment, or payment disputes between Clients and Talent. Users must resolve any such disputes directly with one another.

6.4 Taxes: Each User is solely responsible for determining and fulfilling their own tax obligations arising from their use of the Platform and any income generated from Gigs, including any income tax, VAT, GST, or other applicable taxes. YourGig will not withhold taxes from any payments. YourGig does not provide tax advice.

7. Cancellations and Refunds

7.1 Gig Cancellations: The specific cancellation terms for a Gig shall be agreed upon directly between the Client and the Talent member at the time of booking and set out in their Gig Contract. Users are encouraged to agree on a clear cancellation policy before confirming a booking. YourGig is not responsible for enforcing cancellation policies or facilitating refunds between Users.

7.2 Subscription Refunds: YourGig subscription fees are generally non-refundable, except as required by applicable consumer protection laws or where a cancellation arises due to a material failure on the part of YourGig.

7.3 Disputes: In the event of a dispute between a Client and a Talent member regarding a cancellation, refund, or the performance of a Gig, both parties must resolve the matter directly. YourGig may, at its sole discretion, offer informal mediation assistance but is under no obligation to do so and will not be liable for the outcome of any such dispute.

8. User Content

8.1 Ownership: You retain all ownership rights in and to the User Content you submit to the Platform. YourGig does not claim ownership of your User Content.

8.2 Licence to YourGig: By uploading User Content to the Platform, you grant YourGig a non-exclusive, worldwide, royalty-free, sublicensable licence to host, store, use, display, reproduce, modify, adapt, and distribute your User Content solely for the purposes of operating, promoting, and improving the Services.

8.3 Your Responsibility: You are solely responsible for your User Content. You represent and warrant that you own or have all necessary rights, licences, consents, and permissions to submit the User Content and to grant the licence above, and that your User Content does not infringe the intellectual property rights, privacy rights, or any other rights of any third party.

8.4 Removal: You may delete your User Content at any time by removing it from your account. Please note that copies of your content may persist in our systems for a limited period following deletion for technical and legal compliance reasons.

9. Prohibited Conduct

You agree that you will not, at any time when using or accessing the Services:

• Violate any applicable local, national, or international law or regulation.
• Use the Services for any fraudulent, deceptive, or misleading purpose, including creating false profiles or submitting fake reviews.
• Harass, abuse, threaten, defame, or discriminate against any other User or any third party on the basis of race, ethnicity, gender, religion, disability, sexual orientation, or any other protected characteristic.
• Post or transmit any content that is obscene, pornographic, offensive, or otherwise objectionable.
• Infringe upon the intellectual property rights, privacy rights, or other rights of any third party.
• Attempt to gain unauthorised access to any part of the Platform or any other User's account.
• Use any automated means, including bots, scrapers, or crawlers, to access, collect, or copy data from the Platform without our express written consent.
• Introduce any virus, malware, or other harmful code to the Platform.

YourGig reserves the right to investigate and take appropriate action against any User who violates this section, including suspension or termination of their account.

10. Reviews and Ratings

10.1 The Platform allows Clients and Talent to leave reviews and ratings following the completion of a Gig. Reviews must be honest, accurate, and based on your genuine first-hand experience.

10.2 You must not submit a review for a Gig with which you were not genuinely involved, or submit a review for the purpose of manipulating a User's rating.

10.3 YourGig reserves the right to remove any review that it determines, in its sole discretion, violates these Terms or is otherwise inappropriate.

11. Non-Discrimination Policy

YourGig is committed to an inclusive platform. You agree not to refuse to provide or receive services, or to engage in any discriminatory conduct towards any User, on the basis of race, colour, ethnicity, national origin, religion, gender, gender identity, sexual orientation, disability, or any other characteristic protected by applicable law. Violations of this policy may result in immediate suspension or permanent termination of your account.

12. Intellectual Property

The Site, Platform, and all original content, features, design, and functionality created by YourGig (excluding User Content) are the exclusive property of YourGig and are protected by copyright, trademark, and other applicable intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Services or included software without our prior written permission.

13. Third-Party Links and Services

The Platform may contain links to third-party websites or services. YourGig does not control and is not responsible for the content, privacy policies, or practices of any third-party websites or services. We encourage you to review the terms and privacy policies of any third-party sites you visit.

14. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. YOURGIG DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. YOURGIG MAKES NO WARRANTY REGARDING THE QUALITY, ACCURACY, TIMELINESS, OR RELIABILITY OF ANY TALENT MEMBER OR THE SERVICES THEY PROVIDE.

15. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOURGIG AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, LOSS OF DATA, LOSS OF GOODWILL, OR COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR IN CONNECTION WITH: (A) YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SERVICES; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; (C) THE PERFORMANCE OR NON-PERFORMANCE OF ANY GIG; OR (D) UNAUTHORISED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

IN NO EVENT SHALL YOURGIG'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES EXCEED THE GREATER OF (I) THE TOTAL AMOUNT OF SUBSCRIPTION FEES PAID BY YOU TO YOURGIG IN THE THREE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (II) ONE HUNDRED POUNDS STERLING (£100).

16. Indemnification

You agree to indemnify, defend, and hold harmless YourGig, its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your access to or use of the Services; (b) your User Content; (c) your participation in any Gig; or (d) your violation of these Terms or any applicable law.

17. Termination

17.1 YourGig may suspend or permanently terminate your access to the Services at any time, with or without notice, if we believe you have violated these Terms or for any other reason we deem necessary to protect the integrity of the Platform or the safety of our Users.

17.2 You may terminate your account at any time by contacting us at legal@yourgig.pro. Termination of your account does not affect any Gig Contracts that are already in place between you and another User.

17.3 Upon termination, all licences granted to you under these Terms will immediately cease. Sections that by their nature should survive termination (including Sections 8, 12, 14, 15, 16, and 18) shall survive.

18. Governing Law and Dispute Resolution

18.1 Governing Law: These Terms and any dispute or claim arising out of or in connection with them or their subject matter shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region (SAR), without regard to conflict of law principles.

18.2 Dispute Resolution: In the event of any dispute arising from these Terms or the Services, we encourage you to contact us first at legal@yourgig.pro to attempt an informal resolution. If the dispute cannot be resolved informally, both parties agree to submit to the exclusive jurisdiction of the courts of the Hong Kong Special Administrative Region (SAR).

19. Changes to These Terms

We reserve the right to amend these Terms at any time. We will provide at least 30 days' notice of any material changes by posting the updated Terms on the Site and, where appropriate, notifying you by email. Your continued use of the Services after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Services.

20. Severability and Entire Agreement

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect. These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and YourGig with respect to the Services.
